Terms of Use for Upskill Centre

Introduction

Welcome to Upskill Centre. These Terms of Use ("Terms") govern your access to and use of the mobile applications and websites ("Services") provided by upskillcentre.com ("Upskill Centre," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. Acceptance of the Terms

By using our Services, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

2. Use of Services

Upskill Centre grants you a limited, non-exclusive, non-transferable, and revocable license to use our Services for personal, non-commercial purposes, subject to these Terms and our policies.

You agree not to use the Services in any manner that is illegal or not authorized by these Terms.

3. User Accounts

To access certain features of our Services, you may be required to create an account. You are responsible for safeguarding your account, ensuring that all account information is accurate, and for all activities that occur under your account.

4. Intellectual Property

All intellectual property in the Services, including the design, graphics, text, interfaces, and the selection and arrangement thereof, is owned by or licensed to Upskill Centre. You may not reproduce, distribute, make derivative works of, publicly display, or publicly perform any content without our express prior written consent.

5. User Content

You may be able to submit content through our Services. You retain all rights to your content, but you grant us a non-exclusive, royalty-free, worldwide, transferable, and sublicensable license to use, store, display, reproduce, modify, create derivative works, perform, and distribute your content on our Services for the purposes of operating and providing our Services to you and to our other users.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated "scraping"; (ii) using any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Services; (iii) attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.


7. Termination

We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

Our Services are provided "as is." Upskill Centre and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Upskill Centre nor its suppliers and licensors make any warranty that our Services will be error-free or that access thereto will be continuous or uninterrupted.

9. Limitation of Liability

In no event will Upskill Centre, or its suppliers or licensors, be liable with respect to any subject matter of these terms under any contract, negligence, strict liability, or other legal or equitable theory for: (i) any special, incidental, or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data.

10. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms and update the "Last Updated" date at the top of these Terms. By continuing to use our Services after these changes are made, you agree to be bound by the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Upskill Centre operates, without regard to its conflict of laws rules.

12. Cancellation Policy

At Upskill Centre, we aim to provide clarity and fairness for all participants. Please review our comprehensive workshop cancellation policy below:

  • Participant-Initiated Cancellations:

    • Cancellation more than 14 days before the workshop date: Participants will receive a full refund, minus a 10% administrative fee.

    • Cancellation between 7 and 14 days before the workshop date: Participants will receive a 50% refund.

    • Cancellation less than 7 days before the workshop date: No refunds will be provided.

  • Substitution Policy:

    • Participants unable to attend may send a substitute. Notification of substitution must be provided at least 1 week (7 days) before the workshop date.

    • Full details of the substitute must be submitted at least 3 days before the workshop. If these details are not provided within the specified timeframe, the substitution will be considered invalid.

  • Cancellation by Upskill Centre:

    • In the unlikely event that Upskill Centre cancels the workshop due to unforeseen circumstances, participants will be notified as soon as possible and will be given the option to:

      • Receive a full refund, or

      • Transfer their registration to a future workshop at no additional cost.

  • Force Majeure:

    • In cases where a workshop is unable to take place due to force majeure events such as natural disasters, government restrictions, pandemics, or any other unforeseeable events beyond the control of Upskill Centre, we reserve the right to reschedule the workshop. Participants will be informed promptly and offered the option to:

      • Transfer their registration to a future workshop at no additional cost, or

      • Receive a credit note for future use.

  • Refund Processing:

    • Refunds will be processed within 14 days of the cancellation request.

    • The type and method of refund will be discussed with the participant to ensure a suitable arrangement.
